By accepting the Terms and Conditions of Use of the Handover Platform, you (You or the User) declare that you have previously read this document in full and agreed to all the conditions set forth herein, especially those that limit or in any way restrict your rights.
You further declare that you use the services provided by Handover under the terms established herein.
1. What Handover is
1.1. Handover was created to solve a simple urban mobility and logistics problem, with an innovative idea: using Smart Lockers to deliver, exchange or store products, goods and other belongings, transforming the consumption experience and the way people share.
1.2. Handover makes its Lockers available in private or publicly accessible locations.
1.3. Lockers consist of compartments, which may be used in the desired quantity and format, subject to availability.
2. Requirements to use a Compartment
2.1. To use a Compartment, the User must have access to the location where the Locker is installed, and permission from Handover or from the Handover client that contracted the Locker with Handover.
2.2. The solution is available through several formats of the Handover Platform depending on the operation, and may be accessed via app, webpage, service screen, among others.
2.3. Depending on the access format, the User must share personal data, including general information capable of identifying them, such as: (i) full name; (ii) date of birth; (iii) mobile phone number; (iv) personal e-mail; (v) valid taxpayer ID (CPF); (vi) valid address; and (vii) personal password.
2.4. Handover also allows legal entities to register in its app. In this case, the person registering on behalf of the legal entity declares, for all legal purposes, including criminal, that they have full and unrestricted power to represent the contracted legal entity, being fully liable to the legal entity and any third parties in the event of access to the Handover Platform after loss of such power of representation.
3. Conditions of use of a Compartment
3.1. Once all requirements are met, you may use the Compartment, subject to availability. The time of use of the Compartment is determined by the company that contracted the service with Handover.
3.2. During the rental period, the Compartment may be opened as many times as you wish, without any limit.
3.3. The space is charged in different formats, according to the User’s needs and contracting options.
3.4. When using the Locker, the User must always comply with the conditions established herein and with the access conditions and rules of the locations where the Lockers are installed. There may be time limits for access in places such as commercial establishments, and other rules may apply, such as specific dress codes or restrictions on entering with animals.
3.5. Before using a Locker, the User must check the access conditions of the location where it is installed. Handover is not responsible for any setbacks or access difficulties arising from conditions established at the locations where Lockers are installed, and it is the User’s obligation to know them in advance in order to use these spaces correctly.
3.6. Use of the Locker is also subject to weight, volume and other size limits previously informed by Handover. Storing any Products outside the established standards of weight, size and volume makes the User liable for all damages suffered by Handover, other users and any third parties affected by the misuse.
4. Prohibited use
4.1. It is forbidden to store money, credit instruments of any kind, personal documents, precious metals, illegal drugs, weapons, explosives, flammable products, restricted or controlled products, poisons, materials harmful to health, any living beings, dead animals, plants, frozen products or products requiring specific temperature conditions, controlled medicines, or products sensitive to light, water, sun or humidity.
4.2. By placing any product classified as prohibited in the Locker, the User is fully and solely responsible for all legal consequences, indemnities and other applicable penalties, including administrative ones. This liability applies to any damages suffered by Handover, by the administration of the location where the Lockers are installed, by third parties and by any other users.
5. Refund and Credit in the Handover Self Storage App (Locker)
5.1. A refund is only possible when the Smart Locker cannot be used due to: (a) technical failure of the Locker, or (b) impossibility of access to the Locker location when the availability information was not provided in the Handover App.
5.2. Credits may be granted to users by Handover as a courtesy, at Handover’s sole discretion.
6. Security measures and disclaimer of liability
6.1. Handover Lockers include security systems, which may contain monitoring cameras.
6.2. The Locker may be equipped with an anti-theft sound alarm, which may also sound if the User forgets to close the locker door. All of this to keep Users’ items safe.
6.3. Handover, however, does not guarantee that the measures above will not fail or be subject to power outages, breakage, manufacturing defects, vandalism, unforeseeable circumstances and force majeure, among others.
6.4. Loss, theft, robbery or any damage or defects identified in the Product are not Handover’s responsibility; Handover is limited to providing rental space, which is subject to the action of third parties and even of other users.
6.5. HANDOVER IS NOT LIABLE FOR ANY DAMAGES, DIRECT OR INDIRECT, MATERIAL OR MORAL, FOR LOSS OF CHANCE, FOR ANY LOSS OF PROFITS OR FOR ANY FORM OF COMPENSATION ARISING FROM THE USE AND STORAGE OF PRODUCTS IN THE SPACES RENTED BY USERS.
7. Data sharing
In general, Handover does not share Users’ data. It may, however, be directed to:
Affiliated companies: Handover may share data with other companies corporately related to Handover that help provide better services, such as product improvement, customer support and fraud detection mechanisms.
Third-party service providers: Handover hires third-party service providers to help with some aspects of the services, especially technology infrastructure, such as the cloud storage services offered by Amazon Web Services, Azure and GCP. Service providers may be located inside or outside Brazil, but such providers declare to be in compliance with the applicable rules in the country and abroad.
Law enforcement authorities, regulators and others: Handover may disclose your personal data to law enforcement authorities, regulators, governmental or public entities and other third parties that require us to comply with any legal or regulatory requirements.
Potential mergers and acquisitions: Handover may sell, transfer or merge parts of its business or assets. Alternatively, we may seek to acquire other businesses or merge with them. In the event of any change to our business, the new owners may use your personal data as described in this Privacy Policy.
8. Liability for false data
8.1. Any false, incorrect, altered or invalid data provided by the User will result in the immediate cancellation of the account and the blocking of any Lockers used, without prejudice to the other applicable legal implications related to misrepresentation.
9. Access by authorities
9.1. Legal authorities may order the opening and blocking of Products kept in the Lockers, as well as the provision of User data, whenever there is well-founded suspicion of illegal use or of use linked to acts not permitted by current legislation.
9.2. Handover will always cooperate with the authorities, respecting any confidentiality orders and other determinations presented under proper legal grounds.
10. Assignment or sublease
10.1. The assignment or sublease of the rented spaces is expressly forbidden, unless formally authorized by Handover.
11. Intellectual property
11.1. The commercial use of the expression “Handover” and its derivations as a trademark, company name or domain name, as well as Handover’s logos, brands, insignia and layout, the content of the screens related to Handover services, the credentials that allow the User to access and use their account, the locker’s set of programs, hardware and automation, the locker structure, databases, APIs and other items and components present in the Solutions are the property of Handover and are protected by copyright, trademark, patent, utility model and industrial design laws and international treaties.
11.2. The misuse and the total or partial reproduction of the intellectual property listed in item 11.1 are prohibited, except with Handover’s express authorization.
12. Violation of the system or database
12.1. The use of any device, software or other resource that may interfere with Handover’s activities and operations, as well as with accounts or databases, is forbidden. Any intrusion, attempt, or activity that violates or contradicts intellectual property laws and the prohibitions set forth in these Terms and Conditions of Use will subject the responsible party to the applicable legal actions and to the penalties provided herein, and to liability to indemnify Handover or its users for any damages caused.
13. Changes to the Terms and Conditions of Use of the Handover Platform
13.1. These Terms and Conditions of Use may be changed at any time. However, for safety and transparency in the relationship with Users, Handover undertakes to always request the User’s renewed approval.
14. Governing law and jurisdiction
14.1. These Terms and Conditions of Use and all developments of the relationship with the Users shall be interpreted and governed by the laws and other rules of the Federative Republic of Brazil.
14.2. Handover is always available through Contact Us and other channels that may be created, where the most transparent solutions within the rules of these Terms will always be sought. However, in the event of conflict or dispute even after amicable attempts, the courts of São Paulo, Capital of the State, are elected as the sole competent jurisdiction to address any dispute between the parties involved.
